Terms of Service

By accessing or using Upgraide (“we,” “us,” “our”) at upgraide.net, you agree to be bound by these Terms of Service (“Terms”). If you do not agree, please do not use the platform.

You must be at least 13 years old to use Upgraide. By using the platform, you represent that you meet this requirement. If you are under 18, you represent that a parent or guardian has reviewed and agreed to these Terms on your behalf.

Upgraide is an AI education platform offering text-based courses with interactive prompt practice exercises powered by AI feedback. The platform is available in two tiers:

• Free tier: Access to all courses, progress tracking, certificates, and up to 5 AI prompt practice attempts per day.
• Premium tier: Everything in the free tier, plus unlimited prompt practice, an ad-free experience, access to premium courses, and priority access to new courses.

To access progress tracking, certificates, and prompt practice, you must create an account using an email address and password or a supported third-party sign-in (e.g., Google). You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Notifying us immediately at support@upgraide.net if you suspect unauthorized access

We reserve the right to suspend or terminate accounts that violate these Terms.

Pricing

• Monthly Plan: $9.00 per month, billed monthly
• Annual Plan: $79.00 per year, billed annually (equivalent to $6.58/month)

Automatic Renewal

Your subscription will automatically renew at the end of each billing period (monthly or annual) at the then-current price, unless you cancel before the renewal date. You will not receive a separate notice before each automatic renewal charge.

Cancellation

You may cancel your subscription at any time through the Customer Portal accessible from your Account Dashboard. Upon cancellation:

• Your premium access continues until the end of your current paid billing period.
• You will not be charged for any subsequent billing periods.
• No partial refunds are issued for the unused portion of your current billing period.

Cancellation takes effect at the end of the current billing period — your account will revert to the free tier at that time.

Refund Policy

All subscription purchases are final. We do not provide refunds or credits for partial subscription periods, unused time, or unused features. If you experience a technical issue that prevents access to premium features, contact us at support@upgraide.net and we will work to resolve it.

Price Changes

We reserve the right to change subscription prices. We will provide at least 30 days’ notice of any price increase by email to your registered address and/or by posting a notice on the platform.

Payment Processing

Payments are processed by Stripe. We never store your credit card details — all payment information is handled directly by Stripe in accordance with their Privacy Policy and PCI DSS compliance standards.

Upgraide uses artificial intelligence in two ways, both of which you should understand:

• Course content: Course material on Upgraide is AI-assisted and has been reviewed for educational accuracy. However, AI can make mistakes. Treat course content as educational guidance, not authoritative expertise.
• Prompt practice feedback: When you submit a prompt in a practice exercise, it is evaluated by an AI model (Claude, developed by Anthropic). This feedback represents algorithmic assessment based on defined criteria — it is not a review by a human expert and may not reflect all valid approaches to a given task.

No Professional Advice. Nothing on Upgraide constitutes professional, legal, financial, medical, or business advice. All content is provided for general educational purposes only. Do not rely on course content or AI feedback as a substitute for professional consultation in your specific situation.

You agree to use Upgraide only for lawful purposes. You agree not to:

• Use the platform in violation of any applicable law or regulation
• Attempt to gain unauthorized access to any part of the platform, its systems, or other users’ accounts
• Use automated tools (bots, scrapers, crawlers) to extract content from the platform without our written permission
• Reproduce, redistribute, sell, or create derivative works from course content without our prior written permission
• Submit content through prompt practice exercises that is illegal, harmful, threatening, or violates third-party rights
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Attempt to circumvent rate limits or other technical controls

All course content, interface design, branding, and code on Upgraide are owned by or licensed to us and are protected by intellectual property laws. You may not copy, reproduce, or distribute our content without written permission.

You retain ownership of any original prompts or content you create in practice exercises. By submitting content to the platform, you grant us a limited, non-exclusive license to process that content solely to provide the AI feedback service.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UPGRAIDE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF (OR INABILITY TO USE) THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $10.

We may update these Terms from time to time. We will notify you of material changes by sending an email to your registered address or by posting a prominent notice on the platform. If you continue to use Upgraide after changes take effect, you accept the updated Terms. If you do not agree, you may cancel your account.

We may suspend or terminate your access to Upgraide at any time for violations of these Terms, with or without notice, at our sole discretion. You may delete your account at any time by contacting support@upgraide.net. Upon termination, your right to use the service ceases immediately. Provisions that by their nature should survive termination (including intellectual property, disclaimers, and limitation of liability) will survive.

These Terms are governed by the laws of the United States. Any disputes arising from or related to these Terms or your use of the service shall be resolved in the appropriate federal or state courts, and you consent to personal jurisdiction in those courts.
